The decision of the First appellate court was affirmed by the High court.<span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Rules_and_Laws_applied\"><\/span><strong>Rules and Laws applied:<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Section_37_and_Section_48_of_the_Indian_Partnership_Act_1932_IPA\"><\/span>Section 37 and Section 48 of the Indian Partnership Act, 1932. (IPA)<span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Holding\"><\/span><strong>Holding:<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_Supreme_Court_dismissed_the_appeal_and_upheld_the_decision_of_the_First_appellate_court_which_was_sustained_by_the_High_Court_However_the_court_shifted_the_date_of_the_dissolution_of_the_firm_from_31st_of_March_1989_to_24th_August_1988_The_Court_has_further_issued_some_direction_regarding_a_Settlement_to_read_this_Direction_refer_to_the_case_link\"><\/span>The Supreme Court dismissed the appeal and upheld the decision of the First appellate court which was sustained by the High Court. However, the court shifted the date of the dissolution of the firm from 31st of March, 1989 to 24th August, 1988. The Court has further issued some direction regarding a Settlement to read this Direction refer to the case link.<span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Brief_Analysis\"><\/span><strong>Brief Analysis:<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_court_while_passing_the_judge_rejected_the_argument_by_the_appellants_that_Amar_Singh_had_resigned_as_a_partner_and_therefore_was_only_entitled_to_capital_standing_in_his_credit_in_the_book_of_accounts_as_per_the_partnership_deed_as_there_was_overwhelming_evidence_that_Amar_Singh_had_not_resigned_The_court_highlighting_the_distinction_between_the_retirement_of_a_partner_and_the_Dissolution_of_a_partnership_firm_In_the_1st_case_the_retiring_partner_is_to_be_paid_his_dues_in_terms_of_Section_37_of_the_IPA_whereas_in_the_latter_case_accounts_have_to_be_settled_and_distributed_as_per_the_mode_described_under_Section_48_of_the_IPA_In_the_present_case_the_court_held_as_there_are_only_two_partners_retirement_of_anyone_partner_would_amount_to_the_dissolution_of_the_firm_as_a_partnership_at_a_minimum_requires_two_partners\"><\/span>The court while passing the judge rejected the argument by the appellants that Amar Singh had resigned as a partner and therefore was only entitled to capital standing in his credit in the book of accounts as per the partnership deed, as there was overwhelming evidence that Amar Singh had not resigned.<br>The court highlighting the distinction between the retirement of a partner and the Dissolution of a partnership firm. In the 1st case, the retiring partner is to be paid his dues in terms of Section 37 of the IPA whereas in the latter case accounts have to be settled and distributed as per the mode described under Section 48 of the IPA. In the present case, the court held as there are only two partners retirement of anyone partner would amount to the dissolution of the firm as a partnership at a minimum requires two partners.<span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span><strong>Conclusion:<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_case_is_primarily_concerned_with_the_%E2%80%98Retirement_of_Partner%E2%80%99_in_a_partnership_with_only_two_partners_Section_4_of_the_IPA_defines_a_partnership_as_%E2%80%9Ca_relation_between_persons%E2%80%9D_and_hence_a_single_person_cannot_constitute_a_partnership_firm_Therefore_as_the_Supreme_Court_held_the_retirement_of_one_partner_from_a_partnership_firm_will_lead_to_its_dissolution_if_the_firm_contains_only_two_partners%E2%80%99\"><\/span>The case is primarily concerned with the \u2018Retirement of Partner\u2019 in a partnership with only two partners. Section 4 of the IPA defines a partnership as \u201ca relation between persons\u201d and hence a single person cannot constitute a partnership firm.
